End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a binding agreement between the individual or entity ("End User" or "you") accessing the software and Ledger Financial Inc.("Company", "we", "us", or "our"). This Agreement governs your access to and use of LedgerFi (the "Application"), which is provided as a web-based platform.

BY ACCESSING OR USING THE APPLICATION, YOU:

1. Acknowledge that you have read and understood this Agreement;
2. Represent that you are of legal age and capacity to enter into a binding agreement;
3. Agree to be bound by the terms and conditions set forth herein.

IF YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE APPLICATION.

SECTION 1 - LICENSE GRANT

1.1 Grant of License.

Ledger Financial Inc.grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your internal business purposes in accordance with this Agreement and the Application's documentation.

1.2 Restrictions. You shall not:

• Sub-license, sell, rent, lease, transfer, assign, or distribute the Application.
• Modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Application.
• Remove or alter any proprietary notices or labels on or in the Application.

1.3 Reservation of Rights.

All rights not expressly granted to you in this Agreement are reserved by Ledger Financial Inc.

SECTION 2 - INTELLECTUAL PROPERTY

2.1 Ownership.

The Application is the property of Ledger Financial Inc.and is protected by copyright and other intellectual property laws. You do not acquire any ownership rights by accessing or using the Application.

SECTION 3 - USER OBLIGATIONS

3.1 Compliance with Laws.

You agree to use the Application in compliance with all applicable laws and regulations.

3.2 User Conduct.

You must ensure that any data you input into the Application is accurate, legally obtained, and does not infringe on the rights of others.

SECTION 4 - SERVICE PROVISION

4.1 Service Description.

The Application provides tools for the aggregation and management of business financial information. You acknowledge that the output of the Application depends significantly on the input data provided.

SECTION 5 - DISCLAIMERS

5.1 General Disclaimer.

The Application is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. Ledger Financial Inc.disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

SECTION 6 - LIMITATION OF LIABILITY

6.1 Limitation on Indirect Liability.

To the maximum extent permitted by law, Ledger Financial Inc.shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Application.

6.2 Liability Cap.

Our total liability in any matter arising out of or related to this Agreement is limited to the greater of $100 or the aggregate amount that you paid for access to the service during the three-month period preceding the event giving rise to the liability.

SECTION 7 - INDEMNIFICATION

7.1 Indemnity.

You agree to indemnify and hold harmless Ledger Financial Inc.and its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use of the Application, your violation of this Agreement, or your violation of any rights of another.

SECTION 8 - TERM AND TERMINATION

8.1 Term.

This Agreement is effective until terminated by you or Ledger Financial Inc.

8.2 Termination.

You may terminate this Agreement at any time by ceasing all use of the Application. Ledger Financial Inc.may terminate this Agreement at any time without notice, particularly if you violate any terms of this Agreement.

8.3 Effect of Termination.

Upon termination, the rights and licenses granted to you herein shall terminate, and you must cease all use of the Application.

SECTION 9 - GENERAL PROVISIONS

9.1 Governing Law.

This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

9.2 Severability.

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

9.3 Entire Agreement.

This Agreement is the complete and exclusive statement of the mutual understanding between you and Ledger Financial Inc.and supersedes all previous written and oral agreements, communications, and other understandings relating to the subject matter of this Agreement.

9.4 Amendments.

Ledger Financial Inc.reserves the right to modify or replace any part of this Agreement at any time, and such changes will be effective immediately upon posting to the Application's website.

9.5 Dispute Resolution.

All disputes related to this Agreement will be resolved by binding arbitration in Delaware under its arbitration laws.
